Ad-hoc: EASY SOFTWARE AG intends to take over CFT Consulting GmbH of Bobingen, Germany

EASY SOFTWARE AG of Mülheim an der Ruhr, Germany (ISIN DE0005634000), intends to purchase all shares in CFT Consulting GmbH of Bobingen, Germany, incl. its shareholdings. EASY SOFTWARE AG today has reached broad consensus with the partners of CFT Consulting GmbH on purchasing the shares over a period of four years. Initially, EASY purchases 60% of shares; it will purchase another 25% after two years, and the remaining 15% of shares after four years.
The total purchase price is €9.75 million; payment of the purchase price will be analogous to purchasing the respective shares in the business.
CFT Consulting GmbH is a software company with Europe wide operations centered around document and content management. It has been a strategic partner, and one of the most successful partners, of EASY SOFTWARE AG for more than 20 years. Its more than 40 employees support about 400 end-users in different German sites and approximately 70 sales partners support about 1,400 customers with EASY SOFTWARE products.
The takeover of CFT Consulting GmbH takes place as part of implementing the growth strategy of EASY SOFTWARE AG. This takeover is supposed to effectively strengthen the position of the EASY Group in the market and to commit customers and partners even more.
The transaction is still subject to concluding the corresponding contracts and to approval by the corresponding boards.
