Ad hoc report pursuant to Clause 17 of the German Market Abuse Regulation – EASY SOFTWARE AG resolves capital increase at an amount of up to €1,039,039.00

Mülheim an der Ruhr, Germany – February 18, 2019.

Based on the authorization resolution of the Shareholder Meeting of August 8, 2014 and with the consent of the Supervisory Board, the Management Board of EASY SOFTWARE AG (WKN: 563400, ISIN: DE0005634000) today decided to increase the company’s capital stock by granting subscription rights to the shareholders to up to €6,442,039.00 by issuing up to 1,039,039 new bearer shares of common stock in return for cash contributions.  With the consent of the Supervisory Board, the Management Board set the subscription price per share at EUR 4,81.

As of February 21, 2019, existing shareholders will have the opportunity of subscribing the 1.039.039 new shares as part of subscription offer. The new shares should be included, free of prospectus, in the existing listing in the regulated market of the Frankfurt stock exchange. As of January 1, 2018, the new shares have been entitled to dividends.

The issue proceeds of up to  EUR 4,99 million intended to serve financing part of the purchase price for the shares of Apinauten GmbH acquired by the company.
