Translation of the Ad hoc report pursuant to Clause 17 of the German Market Abuse Regulation – Positive decision of Duisburg Regional Court in compensation proceedings against former board members

Mülheim an der Ruhr, April 30, 2019.

In the compensation proceedings initiated by the Company against its former Spokesman of the Board of Management, Gereon Neuhaus, and its former Chairman of the Supervisory Board, Manfred A. Wagner, in connection with the “SBR” complex, the Regional Court of Duisburg, in its judgment of April 29, 2019, issued a ruling on the matter. In its ruling of 29 April 2019, announced to the Company today, the Regional Court ordered Mr Neuhaus and Mr Wagner as co-debtors to pay compensation for damages in the amount of EUR 1,022,676.03 plus interest as well as the defendant Gereon Neuhaus to pay compensation for damages in the amount of a further total of EUR 414,452.05 plus interest. In 2015, the Company filed a lawsuit against its two former board members for damages in the amount of approximately EUR 1,500,000.00 for unjustified payments made to the now insolvent sbr health IT GmbH. With this ruling, the claim for compensation filed by EASY SOFTWARE AG was largely upheld. The counterclaim filed by Mr. Neuhaus was dismissed. The grounds for the judgment have not yet been submitted to the Company. The judgment is not final.

EASY SOFTWARE AG has not yet decided on further compensation proceedings against Manfred A. Wagner in connection with the “Scan Optic” complex (see recent ad hoc publication dated September 21, 2018).
