EASY SOFTWARE AG acquires the PROXESS Group

November 13, 2023 EASY SOFTWARE AG announces that it has acquired all shares in PROXESS Holding GmbH, based in Berlin, by purchase agreement dated today. PROXESS Holding GmbH and its subsidiary PROXESS GmbH (PROXESS Group) are active in the field of document management systems (DMS) with around 100 employees in Rietheim-Weilheim, Rengsdorf, Leipzig and Thayngen (Switzerland). In the past financial year, the PROXESS Group generated sales of between EUR 10 and 11 million.

The sellers are Beta Systems Software Aktiengesellschaft, the majority shareholder of PROXESS Holding GmbH, and members of the PROXESS Group’s management. The transaction volume (including debt) amounts to a low double-digit million euro amount. EASY SOFTWARE AG is financing the purchase price for the transaction via a shareholder loan from the majority shareholder deltus 36. AG. The transaction is expected to be completed in November 2023 and does not require approval from antitrust or other authorities.

The seller Beta Systems Aktiengesellschaft will provide accounting and payroll services to the PROXESS Group for a period of approximately one year.
