Ad-hoc-release – Entry into negotiations on the conclusion of a control and profit transfer agreement between EASY SOFTWARE AG and deltus 36.

Mülheim an der Ruhr, 25 September 2020.

The Management Board of deltus 36. AG today asked EASY SOFTWARE AG (ISIN: DE000A2YN991, WKN: A2YN99) to immediately enter into negotiations on concluding a control and profit transfer agreement pursuant to §§ 291 ff. of the German Stock Corporation Act (AktG), as announced in the offer document for the voluntary public takeover offer dated September 2, 2020. AktG with deltus 36. AG as controlling company and EASY SOFTWARE AG as controlled company. The Management Board of EASY SOFTWARE AG decided today to initiate such talks, since deltus 36. AG has in the meantime announced that the takeover offer amounting to approx. 75.99% of the voting rights has been accepted.
